Thank you for choosing to use API Scan, a subscription-based software product. Before you proceed with its use, please carefully read and understand the following Terms of Use (the “Terms”) governing your use of API Scan. 

By using API Scan, you agree to be bound by these Terms, which form a legally binding agreement between you and TrustID Inc. In this agreement “We” or “Us” or “Our” shall refer to TrustID Inc, a Canadian corporation, having its principal place of business in the Province of Ontario, Canada. If you do not agree to these Terms, please do not use API Scan. 

1. License Grant. We grant you a non-exclusive, non-transferable, limited license to use API Scan for your personal or commercial use, subject to these Terms. 
2. Ownership. API Scan is owned by Us and is protected by copyright and other intellectual property laws. You acknowledge and agree that We own all right, title, and interest in and to API Scan, including all intellectual property rights therein. 
3. Restrictions. You shall not, and shall not permit any third party to: (a) reverse engineer, decompile, or disassemble API Scan; (b) modify, adapt, or create derivative works of API Scan; (c) distribute, sell, sublicense, rent, lease, or use API Scan for commercial purposes; (d) remove or alter any proprietary notices, labels, or marks on API Scan; or (e) use API Scan in a manner that violates any applicable law, regulation, or third-party right. 
4. Disclaimer of Warranties. API Scan is provided on an “as is” and “as available” basis, without warranty of any kind, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that API Scan will meet your requirements, be uninterrupted or error-free, or that any defects will be corrected. 
5. Limitation of Liability. In no event shall We be liable for any indirect, special, incidental, punitive, or consequential damages arising out of or in connection with API Scan or these Terms, whether in contract, tort, or otherwise, even if We have been advised of the possibility of such damages. 
6. Indemnification. You agree to indemnify and hold Us harmless from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of API Scan or your breach of these Terms. 
7. Termination. We may terminate these Terms and your license to use API Scan at any time if you breach any of these Terms. Upon termination, you must immediately cease all use of API Scan and destroy all copies of API Scan in your possession. 
8. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without giving effect to any choice or conflict of law provision or rule. Any legal action or proceeding arising out of or in connection with these Terms or API Scan shall be brought exclusively in the courts of the Province of Ontario. 
9. Entire Agreement. These Terms constitute the entire agreement between you and Us with respect to API Scan and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Us regarding API Scan. 
10. Modification. We may modify these Terms at any time by posting the modified Terms on our website. Your continued use of API Scan after the posting of the modified Terms constitutes your agreement to the modified Terms. 
11. Waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. 
12. Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 
13. Assignment. You may not assign or transfer these Terms or your license to use API Scan without our prior written consent. We may assign or transfer these Terms or Our rights or obligations under these Terms without restriction. 
14. Notices. All notices required or permitted under these Terms shall be in writing and shall be delivered by email or certified mail, return receipt requested, to the address provided by you in your account information or to the address posted on Our website. 
15. Subscription. API Scan is a subscription-based software product. Your subscription is valid for the period of time specified in your subscription plan. We reserve the right to cancel your subscription at any time for any reason. If We cancel your subscription, We will provide you with a prorated refund of any fees you have paid. 
16. Paid subscriptions: By subscribing to Our services, you agree to pay the specified fees associated with the subscription plan you have chosen. These fees will be charged to your designated payment method on a monthly basis unless otherwise stated.
17. Monthly billing: The subscription fees are billed monthly, starting from the date of your initial subscription activation, unless otherwise specified. Each billing cycle covers the upcoming month of service.
18. Auto-renewal: Unless you cancel your subscription prior to the next billing cycle, your subscription will automatically renew at the end of each monthly billing cycle. This ensures uninterrupted access to Our services. You authorize Us to charge the applicable subscription fees to your designated payment method for the renewed period.
19. Fee modifications: We reserve the right to modify the subscription fees by providing you with prior notice. Such notice may be given by email, through Our website, or other means. By continuing to use Our services after the fee modification takes effect, you agree to the updated pricing.
20. Cancellation and refunds: You may cancel your subscription at any time. However, cancellation requests must be made before the next billing cycle to avoid charges for the upcoming month. We do not offer refunds for any fees already charged unless otherwise required by applicable law.
21. Payment information: You are responsible for providing accurate and up-to-date payment information. In the event of a failed payment or invalid payment method, we may suspend or terminate your subscription until valid payment details are provided.

By using API Scan, you acknowledge that you have read and understood these Terms and that you agree to be bound by them. If you are using API Scan on behalf of an organization, you represent and warrant that you have the authority to bind the organization to these Terms.
